台新金併彰銀 金管會提4要項

（中央社記者吳靜君台北2日電）台新金想合併彰銀，金管會副主委王儷玲指出，如果台新金提出併購申請的話，金管會會視財務狀況、法律遵循、公司治理、健全發展來決定。

財政部長張盛和表示，金融業不是一般的營利事業可以強行併購，台新金欲併彰銀，即使所有程序都走完，最後還要經過金融監督管理委員會同意，金管會不會同意惡性併購。

王儷玲指出，有關於併購部分，必須經過股東會、董事會通過，達成決議時才可以向金管會申請，目前金管會還是鼓勵大股東之間繼續協商，在公司治理及股東最大權益之下審議，才符合程序。

王儷玲認為，不是很合意的併購方式，未來公司治理也會出問題，所以提出併購申請時，金管會會依照財務狀況、法律遵循、公司治理及健全發展來決定。

金管會證期局副局長王詠心指出，有關財政部來文要求金管會注意台新金營造合併的氣氛，意圖影響股價和波動。目前證交所有監視的機制，隨時掌握各公司的股票表現狀況，如果有涉及不法，會依照相關規定辦理。1020702
